Netherlands register of beneficiaries
On June 23, 2020, the Netherlands Parliament adopted Law No. 35179 on the introduction of a centralized register of beneficiaries. The Netherlands was required to establish a register of company beneficiaries under EU Directive 2015/849 (4AMLD) back in 2017, but they fulfilled the order only three years later.
Some data from the registry will be made publicly available. The Fifth EU Anti-Money Laundering Directive (5AMLD) required the Netherlands and other EU countries to introduce registers of beneficiaries of trusts by the end of January 2020. The AML5D extends the applicable provisions of the previous EU directives on trusts. For example, the obligation to register information has been expanded to no longer apply only to "express trusts".
In the case of trusts and foundations, there is no concept of a "minimum threshold of control" from which an individual will be recognized as a "disclosed" beneficiary. That is, all beneficiaries will be indicated, and not only those who own 25% of the shares, as in the case of companies.
Apostille for extracts from commercial register of the Netherlands
Netherlands acceded to the The Hague Convention Abolishing the Requirement of Legalization for Foreign Public Documents on 9 August 1965.
Therefore, the documents issued in the Netherlands are subject to a simplified apostilling procedure, thus the documents gain full legal value in Convention member states after certified translation.
